Sam Ambrose Studio — Digital Use License Agreement

This Digital Use License Agreement ("Agreement") is entered into between Sam Ambrose ("Licensor"), operating from Accra, Ghana, and the licensee ("Licensee"). By purchasing a digital use license, Licensee agrees to the following terms.

1. License Grant

Licensor grants Licensee a non-exclusive, non-transferable, worldwide license to use the high-resolution digital image of the specified artwork ("Licensed Artwork") for the purposes, term, and territory set forth in the applicable invoice or order confirmation.

2. Permitted Uses

Subject to the license tier purchased, Licensee may use the Licensed Artwork for: (a) web display on Licensee's owned digital channels; (b) social media posts and profiles; (c) editorial and print materials including magazines, books, and marketing collateral; (d) digital presentations; and (e) commercial advertising, product packaging, and brand campaigns. The specific permitted uses shall be defined in the invoice.

3. Restricted Uses

Licensee shall not: (a) resell, sublicense, or distribute the digital image as a standalone product; (b) mint, tokenize, or offer the image as an NFT or blockchain asset without a separate written agreement; (c) modify, alter, or create derivative works from the image; (d) remove or alter any watermark or credit; (e) use the image in any unlawful, defamatory, or pornographic context; or (f) transfer or assign this license without Licensor's written consent.

4. Term

This license is granted for a term of one (1) year from the date of purchase, unless otherwise specified in the invoice. The license may be renewed upon mutual agreement. Upon expiration, Licensee shall cease all use of the Licensed Artwork and remove it from any active campaigns within thirty (30) days.

5. License Fee

The license fee is specified in the applicable invoice and varies by use scope, term, exclusivity, and the specific artwork licensed. Payment in full is due before the digital image is delivered. Fees are non-refundable once the image has been delivered.

6. Ownership & Copyright

All copyright and intellectual property rights in and to the artwork and the digital image remain the sole and exclusive property of Licensor. This Agreement grants only the usage rights expressly stated herein. The physical artwork is sold separately and is not included in any digital use license.

7. Attribution

Licensee shall provide visible credit to "Sam Ambrose" in close proximity to the image wherever it is displayed or reproduced, unless a no-credit option has been purchased.

8. Termination

Licensor may terminate this Agreement immediately upon written notice if Licensee breaches any term. Upon termination, Licensee shall cease all use of the Licensed Artwork and destroy all copies in its possession or control within thirty (30) days.

9. Warranties & Limitation of Liability

Licensor warrants that the artwork is an original work and that Licensor has the right to grant this license. Licensor's total liability under this Agreement shall not exceed the license fee paid. Licensee is responsible for ensuring its use of the image complies with all applicable laws and third-party rights.

10. Governing Law

This Agreement shall be governed by the laws of the Republic of Ghana. Any disputes shall be resolved in the courts of Accra, Ghana, or through mutual arbitration.
